1. Introduction
These Terms and Conditions govern your use of the LIQUI platform (www.liqui.uk) operated by TRUVERI LTD, a company registered in England and Wales under company number 16781739, with its registered office at Bartle House, 9 Oxford Court, Manchester, M2 3WQ.
By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our platform.
2. Definitions
- "Platform" means the LIQUI website, applications, and services operated by TRUVERI LTD.
- "User", "you", or "your" means any individual or entity that accesses or uses the Platform.
- "We", "us", or "our" means TRUVERI LTD trading as LIQUI.
- "First Charge Position" means a first legal charge secured against a property in the United Kingdom.
- "Specialist Lender" means a third-party lender to whom we may introduce you.
- "Invitation" means a personalised invitation to access liquidity options through our Platform.
3. Our Services
3.1 Nature of Services
LIQUI operates as an introducer service, connecting holders of first charge positions with specialist lenders. We do not provide financial advice, and we are not authorised or regulated by the Financial Conduct Authority to provide such advice.
3.2 Introduction Service
Our role is limited to:
- Identifying qualifying first charge positions through research and analysis
- Sending personalised invitations to selected investors
- Facilitating introductions between you and specialist lenders
- Providing information about available liquidity options
We do not make lending decisions, guarantee loan approval, or act as a lender ourselves.
3.3 No Financial Advice
The information provided through our Platform is for general information purposes only and does not constitute financial, investment, legal, or tax advice. You should seek independent professional advice before making any financial decisions.
4. Eligibility and Invitations
4.1 Invitation-Only Access
Access to our liquidity services is by invitation only. We identify qualifying first charge positions through comprehensive research and due diligence. Receipt of an invitation indicates that your position has been verified and pre-approved based on our initial assessment.
4.2 Pre-Approval
Pre-approval is based on verified first charge status and is subject to final terms, valuation, and the specialist lender's own assessment. Pre-approval does not guarantee that you will receive funding or any particular terms.
4.3 Eligibility Requirements
To use our services, you must:
- Be at least 18 years of age
- Be a legal holder of a first charge position on UK property
- Provide accurate and complete information
- Have the legal capacity to enter into binding contracts
5. User Obligations
5.1 Accurate Information
You agree to provide accurate, current, and complete information when using our Platform. You must promptly update any information that becomes inaccurate or incomplete.
5.2 Prohibited Conduct
You must not:
- Use the Platform for any unlawful purpose
- Provide false or misleading information
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Platform's operation
- Use automated systems to access the Platform without permission
- Impersonate any person or entity
5.3 Confidentiality
Any invitation code provided to you is personal and confidential. You must not share your invitation code with third parties.
6. Third-Party Lenders
6.1 Independent Relationships
Any lending arrangement you enter into will be directly between you and the specialist lender. We are not a party to any such agreement and accept no responsibility for the lender's actions, decisions, or the terms they offer.
6.2 Due Diligence
You are responsible for conducting your own due diligence on any specialist lender and the terms they offer. We do not guarantee the suitability, reliability, or financial standing of any lender.
6.3 Lender Terms
Any loan or financial product will be subject to the specialist lender's own terms and conditions, which you should read carefully before entering into any agreement.
7. Fees and Charges
7.1 Our Fees
We may receive a fee or commission from specialist lenders for successful introductions. Details of any fees will be disclosed to you before you proceed with any introduction.
7.2 Third-Party Fees
Specialist lenders may charge their own fees, including arrangement fees, valuation fees, legal fees, and interest. These are separate from any fees we charge and are your responsibility.
8. Intellectual Property
8.1 Ownership
All intellectual property rights in the Platform, including but not limited to trademarks, logos, content, software, and design, are owned by or licensed to TRUVERI LTD.
8.2 Limited Licence
We grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. This licence does not permit you to copy, modify, distribute, or create derivative works from our content.
9. Data Protection
We process your personal data in accordance with our Privacy Policy, which forms part of these Terms. By using our Platform, you consent to such processing and warrant that all data you provide is accurate.
10. Disclaimers and Limitations of Liability
10.1 Platform Provided "As Is"
The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform's operation, availability, or the accuracy of information provided.
10.2 No Guarantee of Results
We do not guarantee that you will receive funding, achieve any particular outcome, or that any specialist lender will offer you terms. Past performance and pre-approval do not guarantee future results.
10.3 Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the fees paid by you to us in the 12 months preceding the claim
- We shall not be liable for any loss arising from your reliance on information provided through the Platform
- We shall not be liable for the acts or omissions of third-party lenders
10.4 Nothing in These Terms
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Indemnity
You agree to indemnify and hold harmless TRUVERI LTD, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, your use of the Platform, or your violation of any third-party rights.
12. Termination
12.1 Our Right to Terminate
We may suspend or terminate your access to the Platform at any time, without notice, for any reason, including if we reasonably believe you have violated these Terms.
12.2 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, and limitations of liability.
13. Changes to Terms
We may modify these Terms at any time by posting the revised Terms on the Platform. Your continued use of the Platform after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Platform.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
